Financial Market Law

Artificial intelligence is increasingly being used in the financial sector - for example in investment advice, asset management, compliance and anti-money laundering. Such applications may trigger financial market authorisation requirements or regulatory obligations.

Drawing on our longstanding specialisation in Swiss financial market law, we assess whether your AI business model is subject to Swiss financial market legislation and whether authorisation is required. We advise, in particular, on questions under the Financial Institutions Act (FinIA), the Financial Services Act (FinSA) and the Anti-Money Laundering Act (AMLA), as well as on regulatory requirements in relation to Swiss Financial Market Supervisory Authority (FINMA).

Copyright / Intellectual Property Law / IP Due Diligence

The use of artificial intelligence raises numerous questions of intellectual property law. We advise companies on protecting their AI innovations and on legally safeguarding software (in particular rights in the source code), training data, models and other intangible assets.

In this context, key questions include who owns the rights to outputs generated by AI and how copyright in the software is allocated. It is also necessary to verify whether several developers were involved in the development and whether all rights have been validly assigned. Rights in AI-generated output are generally determined by the terms of use of the relevant AI provider.

In particular where software has been developed largely using AI, we regularly recommend conducting an IP due diligence before market launch. This typically covers:

  • reviewing the terms of use of the AI provider used (in particular rights in output and permitted commercial use);

  • open-source and licence compliance;

  • documenting the human development contribution and the chain of title;

  • reviewing data protection, confidentiality and regulatory risks;

In addition, we support you in preparing licence agreements, assignments of rights and IP clauses, and in establishing legal safeguards in relation to customers, employees, developers and technology partners.
