Advising a Swiss Private Bank on the Structuring and Implementation of a Remuneration Model in connection with the Issuance of Structured Products.

The Zürcher Rechtsanwälte AG advised a Swiss private bank on the legal structuring and implementation of a remuneration model in connection with the issuance of structured products. The engagement focused in particular on the civil law and financial market law classification of the remuneration model, as well as on cross-border regulatory aspects relating to the distribution and offering of structured products into the EU under MiFID II. In addressing the cross-border aspects, Zürcher Rechtsanwälte AG was able to draw on its extensive network of correspondent law firms across the EU. In addition, Zürcher Rechtsanwälte AG supported the private bank in drafting the contractual documentation in connection with the offering and distribution of the structured products to bank clients in Switzerland and the EU.
