Management buyout of a renowned engineering firm

Zürcher Rechtsanwälte AG supported the management of a renowned engineering firm based in the Zurich region with a subsidiary in northeastern Switzerland in a management buyout, including restructuring the ownership structure, paying up the shares, and strengthening the financial structure.

Particular attention was paid to the wording of the shareholder agreement, which is intended to give younger employees the opportunity to participate in the company in the future and provides for the gradual transfer of shares from management members who are retiring due to age. This is intended to enable ongoing cycles that will ensure that management always owns all shares and renews itself in the future.
